CHERFAN DRAPERIES SARL TERMS AND CON\u00adDI\u00adTIONS 1. IN\u00adTRO\u00adDUC\u00adTION: Cherfan Draperies (\u201cCherfan Draperies \u201d) a Lebanese Cor\u00adpo\u00adra\u00adtion, agrees to pro\u00advide you (the \u201cClient\u201d) with Ser\u00advices (de\u00adfined in sec\u00adtion 5 be\u00adlow), sub\u00adject to the Client\u2019s com\u00adpli\u00adance with the terms and con\u00addi\u00adtions here\u00adafter out\u00adlined (the \u201cTerms and Con\u00addi\u00adtions\u201d). Please read the Terms and Con\u00addi\u00adtions care\u00adfully. As a client en\u00adgag\u00ading Cherfan Draperies for its Ser\u00advices, Client agrees to be bound by these Terms and Con\u00addi\u00adtions, both for cur\u00adrent and for any ad\u00addi\u00adtional ser\u00advices for which it may con\u00adtract with Cherfan Draperies , in\u00adclud\u00ading all pay\u00adment terms (col\u00adlec\u00adtively, the \u201cAgree\u00adment\u201d). By \u201cClient,\u201d as we use that term herein, we mean you, whether you are us\u00ading the Ser\u00advices your\u00adself, or whether you are se\u00adcur\u00ading the Ser\u00advices as agent for the ac\u00adtual client. In the lat\u00adter case, you rep\u00adre\u00adsent that you have au\u00adthor\u00adity to legally bind the client you are rep\u00adre\u00adsent\u00ading, and both you and the client you are rep\u00adre\u00adsent\u00ading are jointly and sev\u00ader\u00adally bound as if you each sep\u00ada\u00adrately con\u00adsented to this Agree\u00adment. 2.\u00a0 AC\u00adCEP\u00adTANCE OF THESE TERMS AND CON\u00adDI\u00adTIONS: Client or its agent or rep\u00adre\u00adsen\u00adta\u00adtive ver\u00adbally ac\u00adcepted a sum\u00admary of key pro\u00advi\u00adsions re\u00adlated to pay\u00adment, term of ser\u00advice, and Cherfan Draperies can\u00adcel\u00adla\u00adtion pol\u00adicy, and\/or ex\u00adpressly ac\u00adcepted these Terms and Con\u00addi\u00adtions in re\u00adsponse to an email with con\u00adfir\u00adma\u00adtion link, and af\u00adfir\u00adma\u00adtive ac\u00adtion in the form of check\u00ading the \u201cac\u00adcep\u00adtance\u201d box and click\u00ading \u201csub\u00admit\u201d fol\u00adlow\u00ading an op\u00adpor\u00adtu\u00adnity to re\u00adview these Terms and Con\u00addi\u00adtions. In the event Client does not ac\u00adcept these Terms and Con\u00addi\u00adtions within thirty (30) days of ini\u00adtial pre\u00adsen\u00adta\u00adtion of the Terms and Con\u00addi\u00adtions to Client by Cherfan Draperies, then the of\u00adfer by Cherfan Draperies to pro\u00advide Ser\u00advices upon the pric\u00ading, terms, and con\u00addi\u00adtions ini\u00adtially pro\u00adposed shall be deemed with\u00addrawn. Client may there\u00adafter again re\u00adquest Ser\u00advices, in re\u00adsponse to which Cherfan Draperies will pre\u00adsent new pric\u00ading, terms, and con\u00addi\u00adtions for Client\u2019s con\u00adsid\u00ader\u00ada\u00adtion. Client ac\u00adknowl\u00adedges that, in the event Client has been re\u00adferred to the Ser\u00advices by or through a Cherfan Draperies part\u00adner\u00adship pro\u00admo\u00adtion, then cer\u00adtain of these terms and con\u00addi\u00adtions as in\u00addi\u00adcated herein shall ex\u00adtend to and for the ben\u00ade\u00adfit of Cherfan Draperies pro\u00admo\u00adtional part\u00adner (here\u00adafter \u201cPro\u00admo\u00adtional Part\u00adner\u201d). In such event, Pro\u00admo\u00adtional Part\u00adner shall be con\u00adsid\u00adered a third-party ben\u00ade\u00adfi\u00adciary of the oblig\u00ada\u00adtions of Client un\u00adder these Terms and Con\u00addi\u00adtions. Notwith\u00adstand\u00ading the fore\u00adgo\u00ading, Cherfan Draperies makes no rep\u00adre\u00adsen\u00adta\u00adtions or war\u00adranties herein on be\u00adhalf of any Pro\u00admo\u00adtional Part\u00adner. 3. THREE-DAY CAN\u00adCEL\u00adLA\u00adTION: IF, SUB\u00adSE\u00adQUENT TO CLIENT\u2019S VER\u00adBAL OR OTHER AC\u00adCEP\u00adTANCE OF THE SUM\u00adMARY TERMS AND CON\u00adDI\u00adTIONS, CLIENT DOES NOT AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CON\u00adDI\u00adTIONS, CLIENT MAY NO\u00adTIFY Cherfan Draperies WITHIN THREE (3) BUSI\u00adNESS DAYS OF ITS OR\u00adDER BY EMAIL\u00adING CLIENT\u2019S NAME, BUSI\u00adNESS NAME, EMAIL AD\u00adDRESS, PHYS\u00adI\u00adCAL OR MAIL\u00adING AD\u00adDRESS, AND DO\u00adMAIN TO\u00a0info@cherfandraperies.com<\/a>\u00a0WITH \u201cCAN\u00adCEL SER\u00adVICES\u201d IN THE SUB\u00adJECT LINE, AND THE SER\u00adVICES WILL BE CAN\u00adCELED WITH NO FUR\u00adTHER OBLIG\u00adA\u00adTIONS BY EI\u00adTHER PARTY, PRO\u00adVIDED, HOW\u00adEVER, THAT NO\u00adTICE IS RE\u00adCEIVED BE\u00adFORE\u00a05 PM\u00a0USA EAST\u00adERN STAN\u00adDARD TIME AND CLIENT SHALL BE RE\u00adSPON\u00adSI\u00adBLE FOR COSTS OF ALL SER\u00adVICES PRO\u00adVIDED UN\u00adTIL SUCH CAN\u00adCEL\u00adLA\u00adTION PRO\u00adCE\u00adDURE IS FOL\u00adLOWED. FAIL\u00adURE TO NO\u00adTIFY CHERFAN DRAPERIES OF THIS 3-DAY CAN\u00adCEL\u00adLA\u00adTION AC\u00adCORD\u00adING TO THE PROCESS DE\u00adFINED ABOVE, ALONG WITH CHERFAN DRAPERIES ELEC\u00adTRONIC RECORD OF THE CLIENT\u2019S AC\u00adCEP\u00adTANCE SHALL BE DEEMED TO IN\u00adDI\u00adCATE THAT CLIENT WAIVES ITS RIGHT TO CAN\u00adCEL (IN\u00adCLUD\u00adING WITH RE\u00adSPECT TO ANY AU\u00adTO\u00adMAT\u00adI\u00adCALLY RE\u00adCUR\u00adRING PAY\u00adMENTS), HAS READ AND UN\u00adDER\u00adSTOOD THESE TERMS AND CON\u00adDI\u00adTIONS, AND AGREES TO BE BOUND BY THEM. 4. PER\u00adSONAL IN\u00adFOR\u00adMA\u00adTION:\u00a0 By agree\u00ading to these Terms and Con\u00addi\u00adtions, Client also agrees to re\u00adceive in\u00adfor\u00adma\u00adtion from Cherfan Draperies re\u00adgard\u00ading Client\u2019s ac\u00adcount, and about the Ser\u00advices pro\u00advided to Client (to\u00adgether \u201cSer\u00advice Mes\u00adsages\u201d). Client also agrees to re\u00adceive mar\u00adket\u00ading in\u00adfor\u00adma\u00adtion from Cherfan Draperies about Cherfan Draperies pro\u00admo\u00adtions or an\u00adnounce\u00adments or of\u00adfers to pro\u00advide ad\u00addi\u00adtional or en\u00adhanced ser\u00advices (\u201cMar\u00adket\u00ading Mes\u00adsages\u201d). Dur\u00ading the time that Client is re\u00adceiv\u00ading the Ser\u00advices, Client can\u00adnot opt out of the Ser\u00advice Mes\u00adsages. If Client does not wish to re\u00adceive the Mar\u00adket\u00ading Mes\u00adsages, it must opt out by send\u00ading an email con\u00adtain\u00ading Client\u2019s name and ac\u00adcount num\u00adber, with the sub\u00adject line \u201cMar\u00adket\u00ading Mes\u00adsages Opt-Out,\u201d to\u00a0info@cherfandraperies.com<\/a>. Whether or not Client ac\u00adcepts these Terms and Con\u00addi\u00adtions, any per\u00adson\u00adally iden\u00adti\u00adfi\u00adable in\u00adfor\u00adma\u00adtion pro\u00advided by Client shall be sub\u00adject to Cherfan Draperies pri\u00advacy pol\u00adicy, which can be read at\u00a0http:\/\/cherfandraperies.com\/privacy-policy\/.<\/a>\u200b In the event that Client pro\u00advides its con\u00adtact in\u00adfor\u00adma\u00adtion to Cherfan Draperies and then ei\u00adther af\u00adfir\u00adma\u00adtively re\u00adjects or has not within thirty (30) days ac\u00adcepted these Terms and Con\u00addi\u00adtions, and as a re\u00adsult the Ser\u00advices are not pro\u00advi\u00adsioned, or fol\u00adlow\u00ading the ex\u00adpi\u00adra\u00adtion or can\u00adcel\u00adla\u00adtion of Ser\u00advices pre\u00advi\u00adously pro\u00advided to Client, Client may con\u00adtinue to re\u00adceive Mar\u00adket\u00ading Mes\u00adsages from Cherfan Draperies . As above, if Client does not wish to re\u00adceive the Mar\u00adket\u00ading Mes\u00adsages, it must opt out by send\u00ading an email con\u00adtain\u00ading Client\u2019s name and ac\u00adcount num\u00adber, with the sub\u00adject line \u201cMar\u00adket\u00ading Mes\u00adsages Opt-Out,\u201d to\u00a0info@cherfandraperies.com<\/a>. Any re\u00adquests to opt out pur\u00adsuant to the terms of this sec\u00adtion will re\u00adquire a rea\u00adson\u00adable amount of time for pro\u00adcess\u00ading by Cherfan Draperies, and Client may con\u00adtinue to re\u00adceive mes\u00adsages dur\u00ading the pro\u00adcess\u00ading pe\u00adriod. 5.\u00a0 DE\u00adSCRIP\u00adTION OF OUR SER\u00adVICES:\u00a0 Our ser\u00advices are the prod\u00aducts and\/or ser\u00advices by which Cherfan Draperies will mar\u00adket Client\u2019s busi\u00adness\/ser\u00advice through var\u00adi\u00adous on\u00adline meth\u00adods, web\u00adsites, etc., listed un\u00adder\u00a0http:\/\/cherfandraperies.com\/our-services\/<\/a>\u00a0(the \u201cSer\u00advices\u201d). Re\u00adgard\u00adless of the Ser\u00advices be\u00ading pro\u00advided to Client, Cherfan Draperies will pro\u00advide to Client an Ac\u00adcount In\u00adfor\u00adma\u00adtion Page which may be ac\u00adcessed by Client at any time to de\u00adter\u00admine the sta\u00adtus of Client\u2019s ac\u00adcount and the ser\u00advices pro\u00advided by Cherfan Draperies . Client may at any time de\u00adter\u00admine what Ser\u00advices are cur\u00adrently be\u00ading pro\u00advided by Cherfan Draperies by check\u00ading Client\u2019s Ac\u00adcount In\u00adfor\u00adma\u00adtion Page (ac\u00adces\u00adsi\u00adble through the sub\u00adscrip\u00adtion email and the Re\u00adport\u00ading Por\u00adtal) or by call\u00ading\u00a0+961 (4) 71 00 61<\/a>\u00a0(Tel)\u00a0+961 (4) 71 90 61<\/a>\u00a0. Client should un\u00adder\u00adstand that clicks to Client\u2019s site, in\u00adclud\u00ading clicks on the search en\u00adgines, shop\u00adping en\u00adgines, con\u00adtent sites, etc. may in\u00adclude cer\u00adtain mis\u00adspellings, sin\u00adgu\u00adlar\/plural com\u00adbi\u00adna\u00adtions, and other re\u00adlated search terms that Cherfan Draperies maps to Client\u2019s cam\u00adpaigns. How\u00adever, mis\u00adspellings are be\u00adcom\u00ading less com\u00admon with new auto com\u00adplete search en\u00adgine tech\u00adnol\u00adogy. All key\u00adword cam\u00adpaigns will in\u00adclude key terms, ti\u00adtles, and de\u00adscrip\u00adtions se\u00adlected specif\u00adi\u00adcally with the in\u00adtent to op\u00adti\u00admize re\u00adturn on spend. Un\u00adless Client has en\u00adgaged MCherfan Draperies to pro\u00advide a small-scale web\u00adsite, Client is re\u00adspon\u00adsi\u00adble for the qual\u00adity and ac\u00adcu\u00adracy of its own web\u00adsite and its land\u00ading page(s), or redi\u00adrect web\u00adsites that link to its ad\u00adver\u00adtise\u00adments. 6.\u00a0 FEES FOR CHERFAN DRAPERIES SER\u00adVICES:\u00a0 Client may at any time de\u00adter\u00admine the fees and pric\u00ading cur\u00adrently ap\u00adplic\u00ada\u00adble to any Ser\u00advice be\u00ading pro\u00advided by check\u00ading Client\u2019s pro\u00adposal link pro\u00advided to the Client via email or by call\u00ading\u00a0+961 4 719061<\/a>\u00a0and\u00a0+961 4 710061<\/a>. By ac\u00adcept\u00ading these Terms and Con\u00addi\u00adtions, Client ex\u00adpressly agrees to pay the fees and pric\u00ading for the Ser\u00advices re\u00adquested, and which were com\u00admu\u00adni\u00adcated to Client at or be\u00adfore the time of ac\u00adcep\u00adtance. 7.\u00a0 PAY\u00adMENT:\u00a0 Client must pay via credit card to be au\u00adto\u00admat\u00adi\u00adcally billed by Cherfan Draperies. Client au\u00adtho\u00adrizes Cherfan Draperies, or Cherfan Draperies mer\u00adchant ser\u00advices provider, to store Client\u2019s fi\u00adnan\u00adcial in\u00adfor\u00adma\u00adtion for the pur\u00adpose of fa\u00adcil\u00adi\u00adtat\u00ading pay\u00adment to Cherfan Draperies. It is Client\u2019s re\u00adspon\u00adsi\u00adbil\u00adity to no\u00adtify Cherfan Draperies, in writ\u00ading, of any changes or up\u00addates to Client\u2019s fi\u00adnan\u00adcial in\u00adfor\u00adma\u00adtion, and Client is solely re\u00adspon\u00adsi\u00adble for its fail\u00adure to do so. All fees must be paid in United States dol\u00adlars. Client is solely re\u00adspon\u00adsi\u00adble for any ap\u00adplic\u00ada\u00adble taxes. All fees are due in ac\u00adcor\u00addance with the agreed upon fee sched\u00adule, or im\u00adme\u00addi\u00adately upon Client\u2019s re\u00adceipt of in\u00advoice, as ap\u00adplic\u00ada\u00adble. Client agrees that any setup fees or one-time ser\u00advices pay\u00adments are non\u00adre\u00adfund\u00adable. 8.\u00a0 LATE PAY\u00adMENT:\u00a0 Pay\u00adments made by billing of a credit card or deb\u00adit\u00ading of a bank ac\u00adcount are in\u00adtended in part to avoid the in\u00adcon\u00adve\u00adnience and cost to both par\u00adties of late or missed pay\u00adments. How\u00adever, it is Client\u2019s re\u00adspon\u00adsi\u00adbil\u00adity to en\u00adsure that Cherfan Draperies has the most up-to-date credit card or bank ac\u00adcount in\u00adfor\u00adma\u00adtion, and that such meth\u00adods are vi\u00adable for pay\u00adment of the fees due to Cherfan Draperies for the Ser\u00advices. In the event of a fail\u00adure of the pay\u00adment method au\u00adtho\u00adrized by Client, and one or more pay\u00adments are made later than the due date, such late pay\u00adments are sub\u00adject to a late fee equal to the greater of $25 or 6% of the to\u00adtal pay\u00adment due, but not to ex\u00adceed the max\u00adi\u00admum amount al\u00adlowed by ap\u00adplic\u00ada\u00adble law. In ad\u00addi\u00adtion to late fees, Client agrees to pay all at\u00adtor\u00adneys fees and costs in\u00adcurred by Cherfan Draperies\u00a0for late pay\u00adment col\u00adlec\u00adtion ef\u00adforts. 9. RE\u00adCUR\u00adRING PAY\u00adMENTS AND TERM OF AGREE\u00adMENT: Billing will oc\u00adcur in the form of a one-time pay\u00adment or an au\u00adto\u00admat\u00adi\u00adcally re\u00adcur\u00adring monthly pay\u00adment, as set forth in the spe\u00adcific prod\u00aduct\/ser\u00advice terms and con\u00addi\u00adtions for the Ser\u00advice pro\u00advided.\u00a0IF BILLING IS TO IN\u00adCLUDE AN AU\u00adTO\u00adMAT\u00adI\u00adCALLY RE\u00adCUR\u00adRING PAY\u00adMENT:<\/b><\/p>\n
